1. Acceptance of Terms

By accessing or using EzyFront ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

EzyFront provides a platform for professional consultants to create AI-powered document portals. The Service includes:

• White-label branded portals for client-facing document services
• AI-powered document generation using uploaded knowledge bases
• Payment processing integration via Stripe Connect
• Document review and approval workflows
• Client management and analytics

3. Account Registration

To use the Service, you must:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old and legally able to enter into contracts
• Represent a legitimate business entity providing professional services

You are responsible for all activities that occur under your account.

4. Subscription Plans and Fees

4.1 Plan Types

We offer multiple subscription plans:

• Flex Plan: €0/month + 12% transaction fee
• Starter Plan: €79/month + 10% transaction fee
• Professional Plan: €249/month + 8% transaction fee
• Business Plan: €599/month + 6% transaction fee

4.2 Transaction Fees

Transaction fees are calculated as a percentage of each client payment you receive through the platform. These fees are deducted automatically before funds are transferred to your Stripe account.

4.3 Changes to Pricing

We reserve the right to modify our pricing. Price changes will not affect your current billing cycle and will be communicated at least 30 days in advance.

5. Payment Terms

• Subscription fees are billed monthly in advance
• All fees are non-refundable except where required by law
• You authorize us to charge your payment method on file
• Payment processing is handled by Stripe, subject to Stripe's terms
• Failure to pay may result in service suspension or termination

6. User Responsibilities

You agree to:

• Use the Service in compliance with all applicable laws and regulations
• Maintain professional standards in all client interactions
• Upload only materials you have the legal right to use
• Review all AI-generated documents before delivering to clients
• Not misrepresent the capabilities or outputs of the Service
• Not use the Service for illegal, harmful, or fraudulent purposes
• Not attempt to reverse engineer, hack, or compromise the Service
• Not resell or sublicense access to the Service without authorization

7. AI-Generated Content Disclaimer

EzyFront uses artificial intelligence to generate documents based on your knowledge base and client questionnaire responses. You acknowledge that:

• AI-generated content is a first draft requiring human review
• You are responsible for verifying accuracy and compliance
• AI outputs may contain errors or inconsistencies
• The mandatory review step is a critical part of your workflow
• EzyFront does not guarantee the accuracy of AI-generated content

8. Professional Responsibility

You retain full professional responsibility for all documents delivered to your clients. EzyFront provides tools to assist your workflow but does not provide professional advice or assume liability for your professional decisions. You must maintain appropriate professional insurance and licenses required for your field.

9. Intellectual Property

9.1 Your Content

You retain all rights to content you upload (knowledge bases, templates, branding). By using the Service, you grant us a license to use this content solely to provide the Service to you.

9.2 Our Platform

EzyFront and all related intellectual property remain our exclusive property. You may not copy, modify, or create derivative works based on our platform.

9.3 Client Data

Client data collected through your portal belongs to you. We do not claim ownership of your client data and provide export functionality for your convenience.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to fees paid by you in the 12 months preceding the claim
• We are not responsible for third-party service failures (Stripe, Google Cloud, etc.)
• You are responsible for maintaining backups of your data

11. Termination

11.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service

11.3 Data After Termination

Your data is retained for 30 days after termination, during which you may export it. After 30 days, data is permanently deleted.

12. Governing Law

These Terms are governed by the laws of Italy and the European Union. Any disputes will be subject to the exclusive jurisdiction of the courts of [Jurisdiction], Italy.

13. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation before resorting to litigation.

14. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
